TERMS & CONDITIONS
Welcome to Felicita Corporation.
These Terms and Conditions ("Terms") govern the business relationship between Felicita Corporation ("Felicita", "we", "our", or "us") and the Buyer ("you" or "your"). By engaging in negotiations and purchasing a vehicle from us, you agree to be bound by these Terms.
As a specialized boutique vehicle export firm based in Osaka, Japan, our core philosophy is "Absolute Transparency." We do not aim for mass volume; instead, our CEO personally oversees every transaction to build profound, 1-on-1 partnerships with trusted buyers worldwide.
1Vehicle Condition and "Absolute Transparency"
- As-Is Condition: All vehicles are sold strictly on an "As-Is" and "Where-Is" basis. As used vehicles, they may have normal wear and tear.
- Honest Disclosure: We guarantee "Absolute Transparency" by providing detailed information, high-resolution photos, and honest assessments of the vehicle's condition before purchase. We do not hide flaws.
- No Warranty: Felicita makes no implied or expressed warranties regarding the merchantability or fitness for a particular purpose after the vehicle has departed from Japan.
2Ordering and Payment Terms
- Direct Negotiation: All final prices and conditions are negotiated directly with the CEO to ensure mutual agreement and clarity.
- Proforma Invoice (P/I): Upon agreement, we will issue a Proforma Invoice. The vehicle will be reserved for you for a strictly limited period (typically 48-72 hours) to allow for payment processing.
- Payment Method: To ensure maximum security for both parties, we only accept 100% payment in advance via Telegraphic Transfer (T/T) to our designated bank account in Japan.
- Bank Charges: All bank transfer fees, including intermediary bank charges, are the sole responsibility of the Buyer. We must receive the exact total amount stated on the Proforma Invoice.
3Shipping and Logistics
- Trusted Partners: While we are a boutique firm, we partner with established, highly reputable international shipping lines and forwarders to ensure the secure transport of your vehicle (RoRo or Container).
- Risk of Loss (Incoterms): Unless otherwise agreed in writing (e.g., CIF, C&F), our standard terms are FOB (Free On Board). This means Felicita’s responsibility for the vehicle ends, and the risk of loss or damage transfers to the Buyer, the moment the vehicle is loaded onto the shipping vessel at the Japanese port.
- Force Majeure: Felicita shall not be held liable for any shipping delays, damages, or failures to perform due to circumstances beyond our reasonable control, including but not limited to severe weather, natural disasters, port strikes, or shipping line schedule changes.
4Cancellation and Refund Policy
- Strict Policy: Because we dedicate significant time and resources to each boutique transaction and immediately begin export preparations upon securing a vehicle, all sales are final.
- No Refunds: Once the T/T payment has been received and the vehicle is secured or the shipping process has commenced, we do not accept cancellations, and no refunds will be issued under any circumstances.
5Import Regulations and Compliance
- Buyer's Responsibility: The Buyer is solely responsible for understanding and complying with all import laws, age restrictions, emissions standards, taxes, and duties of the destination country. Felicita is not responsible if a vehicle cannot be imported or registered in your country.
- AML Compliance: We strictly adhere to Anti-Money Laundering (AML) regulations. We reserve the right to refuse or cancel any transaction that appears suspicious or violates international compliance standards.
6Governing Law and Jurisdiction
- These Terms and all transactions with Felicita shall be governed by and construed in accordance with the laws of Japan. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Osaka, Japan.
